Duties & Responsibilities
DIRECTOR CORPORATE FINANCE JOB SUMMARY:
The successful incumbent will lead our client’s (listed manufacturing group) corporate finance function. They will also assume responsibility for the group’s insurance portfolio and management of the group’s long-term share incentive scheme. A close working relationship / partnership with the group’s finance, tax, treasury, corporate strategy and HR will functions will need to be maintained as well as the outside advisors (legal & corporate banking) on corporate finance items. Role outputs will include: –
M&A
Manage relationship with the strategy function, ensuring the provision of adequate due diligence support and other relevant assistance
Provide assistance to the group’s venture capital fund
Valuations
Liaison with transaction & legal advisors
Inputs to and review of transaction documents
Delivering presentations to the Investment Committee & Board
Attend to ad hoc projects
Insurance
Take ownership of the relationship with insurance broker
Oversee annual insurance premium renewal including review of insurance declarations, insurance questionnaires, etc
Attend monthly operational meetings
Monitor of insurance claims
Review & payment of insurance premiums
Governance of insurance structure (incl attendance of shareholder/board/premium allocation meetings)
Attendance of Operational Risk and Risk & Sustainability Committee meetings
Share Scheme
Measurement of performance conditions
Liaise with HR re allocations and vesting of LTI instruments
Liaise with actuaries/finance function on IFRS2 valuations
Support to HR (including interpretation of LTIP rules)
Inputs on Remuneration Report
Ad hoc attendance of Remuneration Committee meetings
CRITERIA / REQUIREMENTS
A CA(SA) would be preferred
Strong commercial experience in corporate finance
A well-developed understanding of the insurance industry
An all-rounder with technical prowess across all functions within the corporate finance space
Good understanding of the broader implications of corporate finance activity on the business
Superior analytical skills & attention to detail
Strong leadership, interpersonal and communication skills
A solutions / CI orientated individual
